Jakarta, April 2, 2024 &ndash; PT Nusantara Sejahtera Raya Tbk (Cinema XXI, stock code: CNMA) held its Annual General Meeting of Shareholders (AGMS) for the 2023 fiscal year on Tuesday, April 2, 2024, in Jakarta. The shareholders approved the dividend payout of IDR667.76 billion or IDR8 per share, which is equivalent to 97% of the Company&#39;s profit attributable to owners of the Company in 2023 of IDR687.8 billion.

&quot;The dividend payout for the 2023 fiscal year is part of our commitment to shareholders after the Company successfully conducted its Initial Public Offering (IPO) in 2023. Our performance throughout 2023 also highlights the Company&#39;s ability to leverage Indonesia&#39;s economic growth potential to strengthen the fundamentals and maintain a sustainable business in the long run,&quot; said Cinema XXI Corporate Secretary and Director of Finance Tri Rudy Anitio in an official statement in Jakarta on Tuesday (2/4/2024).

The AGMS reported the utilization of funds from Cinema XXI&#39;s Initial Public Offering (IPO), which was carried out based on the effective registration statement from the Financial Services Authority on July 25, 2023. Through the IPO, Cinema XXI raised IDR2.25 trillion, with net proceeds of IDR2.17 trillion after deducting public offering costs. By the end of December 2023, Cinema XXI had utilized IDR1.13 trillion of the IPO proceeds, leaving a balance of IDR1.05 trillion.

Furthermore, the AGMS also approved the proposal to change the Company&#39;s management structure by appointing Suryo Suherman to replace Ir. Hans Gunadi M.Sc. as the President Director and Ongki Wanadjati Dana as Acting President Commissioner to replace Suryo Suherman. The Company expressed its gratitude and appreciation for the contributions and dedication of Ir. Hans Gunadi M.Sc. and Suryo Suherman during their tenure.

The Cinema XXI AGMS also approved:

	<li>The Company&#39;s Annual Report and ratifying the Company&#39;s Consolidated Financial Statements for the Fiscal Year 2023 and at the same time granting full discharge and release of liability (acquit de charge) to the Board of Directors for their actions in managing the Company and to the Board of Commissioners for the implementation of company supervision in the 2023 Fiscal Year.</li>
	<li>Granting the Board of Commissioners the authority to determine remuneration, such as salaries, honorariums, and allowances, for the Board of Directors and the Board of Commissioners for the 2024 financial year.</li>
	<li>Granting the Board of Commissioners the authority to appoint a Public Accountant and a Public Accounting Firm to audit the Company&#39;s Financial Statements for the 2024 financial year.</li>

Solid Performance

As the largest cinema chain operator in Indonesia, Cinema XXI has established 240 cinema locations with 1,280 screens in 60 cities/regions throughout Indonesia as of December 31, 2023. This expansion also contributed to an increase in total admissions of 84.3 million in 2023, resulting in a Gross Box Office (GBO) of IDR3.5 trillion.

Throughout 2023, Cinema XXI earned revenue of IDR5.2 trillion with EBITDA of IDR1.7 trillion. In 2023, Cinema XXI&#39;s total revenue was mainly derived from cinema ticket sales at 60% and the F&amp;B product business line at 35.4%.

Cinema XXI has prepared a capital expenditure of around IDR775 billion in 2024 to expand its business, including the establishment of new cinema locations and the addition of around 100 new screens in various cities and regions throughout Indonesia by 2024. &ldquo;Cinema XXI&#39;s strategy will focus on more productive asset and liability management, developing a more diversified F&amp;B business, and implementing ESG principles in various business lines to increase sustainable value,&rdquo; added Cinema XXI Corporate Secretary and Director of Finance Tri Rudy Anitio.

Anitio expressed his optimism about the development of the domestic entertainment industry, especially the cinema and film sectors. The public&#39;s high interest in moviegoing experience supports this, and the potential for an increase in the number of cinema screens in Indonesia is still substantial. Jakarta, 2 April 2024 &ndash; PT Nusantara Sejahtera Raya Tbk (Cinema XXI, kode saham: CNMA) menggelar Rapat Umum Pemegang Saham Tahunan (RUPST) tahun buku 2023 pada Selasa, 2 April 2024, di Jakarta. Dalam RUPST tersebut, pemegang saham menyetujui pembagian dividen sebesar Rp666,76 miliar atau sebesar Rp8 per saham. Nilai dividen tersebut setara dengan 97% dari laba bersih Perseroan yang diatribusikan kepada pemilik entitas induk pada 2023 sebesar Rp687,8 miliar.&nbsp;

&quot;Pembagian dividen tahun buku 2023 ini merupakan bagian dari komitmen kami kepada para pemegang saham setelah Perseroan sukses melaksanakan Initial Public Offering (IPO) di tahun 2023 lalu. Kinerja kami sepanjang tahun 2023 juga menunjukkan kemampuan Perseroan dalam mengoptimalkan potensi pertumbuhan ekonomi Indonesia untuk memperkuat fundamental dan menjaga keberlanjutan bisnis Cinema XXI dalam jangka panjang,&quot; ujar Sekretaris Perusahaan sekaligus Direktur Keuangan Cinema XXI Tri Rudy Anitio dalam keterangan resminya di Jakarta, Selasa (2/4/2024).

RUPST melaporkan realisasi penggunaan dana hasil Penawaran Umum Perdana Saham (IPO) Perseroan yang dilaksanakan berdasarkan pernyataan efektif pendaftaran dari Otoritas Jasa Keuangan pada 25 Juli 2023. Melalui penawaran umum tersebut, Cinema XXI memperoleh dana sebesar Rp2,25 triliun dengan hasil bersih sebesar Rp2,17 triliun setelah dikurangi biaya penawaran umum. Hingga akhir Desember 2023, Cinema XXI telah merealisasikan penggunaan dana hasil IPO sebesar Rp1,13 triliun. Dengan demikian, Cinema XXI masih mengantongi sisa dana hasil IPO sebesar Rp1,05 triliun.

Selanjutnya, RUPST juga menyetujui usulan perubahan susunan pengurus Perseroan dengan mengangkat Suryo Suherman untuk menggantikan Ir. Hans Gunadi M.Sc. sebagai Direktur Utama dan mengangkat Ongki Wanadjati Dana sebagai Pelaksana Tugas Komisaris Utama menggantikan Suryo Suherman. Perseroan menyampaikan terima kasih dan penghargaan atas kontribusi dan dedikasi Ir. Hans Gunadi M.Sc. dan Suryo Suherman selama melaksanakan masa jabatannya.

	<li>Laporan Tahunan Perseroan dan mengesahkan Laporan Keuangan Konsolidasian Perseroan untuk tahun buku 2023, sekaligus memberikan pelunasan dan pembebasan tanggung jawab sepenuhnya (acquit de charge) kepada Direksi atas tindakan pengurusan Perseroan dan Dewan Komisaris tentang pelaksanaan pengawasan Perseroan pada tahun buku 2023.</li>
	<li>Memberikan kewenangan kepada Dewan Komisaris untuk menetapkan remunerasi seperti gaji, honorarium, serta tunjangan untuk Direksi dan Dewan Komisaris untuk tahun buku 2024.</li>
	<li>Memberikan kewenangan kepada Dewan Komisaris untuk menunjuk Akuntan Publik dan Kantor Akuntan Publik untuk mengaudit Laporan Keuangan Perseroan tahun buku 2024.</li>

Kinerja Makin Solid

Sebagai jaringan bioskop terbesar di Indonesia, sampai dengan 31 Desember 2023, Cinema XXI telah menghadirkan 240 lokasi bioskop dengan total 1.280 layar di 60 kota/kabupaten yang tersebar di seluruh Indonesia. Hal ini turut mendorong peningkatan penjualan tiket bioskop sebesar 84,3 juta penonton pada tahun 2023. Angka tersebut menghasilkan Gross Box Office (GBO) senilai Rp3,5 triliun.

Sepanjang tahun 2023, Cinema XXI membukukan pendapatan sebesar Rp5,2 triliun dengan perolehan EBITDA sebesar Rp1,7 triliun. Adapun total pendapatan Cinema XXI sepanjang 2023 terutama berasal dari kontribusi penjualan tiket bioskop sebesar 60% dan produk makanan dan minuman sebesar 35,4%.

In the holy month of Ramadhan, Cinema XXI held an iftar event and donation in the form of aid and Eid Al-Fitr hampers for Pondok Pesantren Nurul Hikmah Bogor on March 26, 2024, at The Ballroom at Djakarta Theatre. The event, which is regularly held each year, is part of Cinema XXI&rsquo;s social care towards the community in need. &nbsp;&nbsp; 
 
The event, with the theme &quot;Semangat Ramadhan, Menjaga Akhlak dan Membangun Sinergitas bagi Leader XXI,&quot; was attended by the management and employees of Cinema XXI, as well as the students and administrators of Pondok Pesantren Nurul Hikmah. Additionally, the attendees also listened to tausiah by Ustad Sholeh Mahmoed, also known as Ustad Solmed.
